License Agreement & General Terms and Conditions
This agreement (“Agreement”) is made between Ars Media LP GmbH, doing business as ARTYFILE ("ARTYFILE"), and you, or the employer on whose behalf you are entering this agreement (“you”). By using our website or purchasing a license from us, you agree to the following terms and conditions, which apply to the license you have purchased.
1- Definitions
- Project: A media project in which the licensed Recording is synchronized.
- Recording: A specific piece of recorded music licensed by ARTYFILE.
2- ARTYFILE Exclusive Licenses
ARTYFILE offers two exclusive music asset licenses:
- Artyfile Basic: A non-exclusive, non-transferable, standalone license, granting full synchronization rights without any subscription obligations. This license allows high-quality music for film, video, and content creation, available for direct download in WAV or MP3. It’s ideal for social media, background music, and professional video content.
- Artyfile Limited Edition: This license includes all Basic benefits and extends further by offering ownership shares in the music’s master rights. Each Limited Edition is represented by a Music NFT, providing additional revenue rights from global streaming and sync usage. Limited Edition purchases are made in traditional currencies (Euro, Dollar, Pound). To complete your purchase of an Artyfile Limited Edition, you must provide a valid wallet address at the time of order. You are solely responsible for ensuring that the wallet address is correctly entered. Any incorrect or missing wallet address information is the responsibility of the customer, and ARTYFILE cannot be held liable for such errors.
All licenses include perpetual worldwide usage rights in line with the Agreement. License fees are detailed on our website.
3- Additional Terms for All License Types
Recordings are for personal or organizational use only. They may be used in professional projects for clients or employers. No public performance rights are included. For TV and radio, cue sheets must be submitted. ARTYFILE provides all necessary cue sheet information upon request. Recordings may not be registered under any content identification system (e.g., YouTube Content ID) or claimed as owned.
4- License Scope
Licenses allow Recording use in:
- Applications: Online streaming, websites, social media, podcasts, corporate videos, slideshows, films, TV, and radio.
- Formats: Video clips, advertisements, films, podcasts, animations, and presentations.
Projects created for clients are covered by your license, allowing distribution across various platforms.
5- Limitations of Use
Recordings or granted rights may not be:
- Sold, transferred, sublicensed, shared, or assigned.
- Made available for separate download or incorporated into competing music libraries.
- Sold as part of a music compilation, library, or as your song.
6- Ownership
ARTYFILE retains full ownership of all rights, title, and interest in each Recording. For Artyfile Limited Edition licenses, ownership shares in the master rights are granted solely for revenue participation in streaming and sync income. Ownership does not include any right to influence, manage, or otherwise participate in ARTYFILE's decisions regarding the Recording or its use. This license is non-exclusive, and ARTYFILE reserves the right to license the Recording to third parties at its sole discretion.
7- Limitation of Liability
ARTYFILE’s liability is limited to the paid license fee. No further warranties or liabilities are provided.
8- Availability of Recordings
ARTYFILE strives to maintain availability of all Recordings but reserves the right to discontinue licensing as needed.
9- Withdrawal Right
By downloading purchased music, you consent to begin contract fulfillment immediately, waiving the standard withdrawal right upon download.
10- Taxes
License fees exclude taxes and governmental charges. All applicable taxes will be invoiced additionally.
11- General Provisions
This Agreement is governed by Austrian law and falls under the jurisdiction of the courts in Innsbruck.
